НАШИ КОНСУЛЬТАТИВНЫЕ ЗАМЕЧАНИЯ
Regulatory Strategy and Advisory
We advise boards, executives, founders and investors on the regulatory decisions that determine whether and how a financial-services business can operate: jurisdiction, perimeter, permissions, ownership, capital, governance and supervisory approach. Mandates cover new institutions, new activities, transactions, business-model change and cross-border expansion across the UAE and wider GCC.
We test the commercial proposition against the relevant FSRA, DFSA, VARA, CMA and CBUAE requirements, including the boundaries between regimes. The result is a defensible regulatory position and a clear route from strategic decision to authorisation and implementation.

01 Regulatory Perimeter and Activity Classification
We determine which regulated activities, instruments and customer relationships arise from the proposed model and which authority has jurisdiction. The analysis follows what the business will do in practice, not the labels used in a corporate plan or technology proposition.
Where several regimes may apply, we identify the boundaries, dependencies and sequencing between them. This is particularly important for models combining investments, virtual assets, tokenisation, payments, custody, credit or cross-border distribution.
Our work covers:
· Activity, instrument, client and distribution-channel mapping
· FSRA, DFSA, VARA, CMA and CBUAE perimeter analysis
· Regulated, excluded, exempt and incidental activities
· Security, virtual-asset, payment-token and investment-token classification
· Cross-border marketing, solicitation and service-delivery analysis
· Regulatory perimeter paper, assumptions register and decision record

02 Jurisdiction Selection and Regulatory Structuring
We compare the regulatory routes available across ADGM, DIFC and onshore UAE by reference to the proposed activities, target clients, ownership model and regional plan. The decision is assessed against commercial access, permission scope, capital, substance, governance and implementation requirements.
We then define the entity and regulatory structure required to support the selected route, including the relationship between holding, operating and regulated entities. For GCC expansion, we establish the sequence of markets and the functions that should remain central or be established locally.
Our work covers:
· ADGM, DIFC and onshore UAE jurisdiction comparison
· Licence, permission and client-access implications
· Branch, subsidiary, holding-company and regulated-entity options
· Ownership, control, substance and local-presence requirements
· Group structure and shared-service implications
· GCC market sequencing and regulatory dependency mapping

03 Regulatory Business Model and Operating Strategy
We test whether the proposed business and revenue model can operate within the intended permissions and regulatory conditions. This includes the treatment of clients, products, assets, fees, outsourcing, technology, group services and cross-border activity.
The agreed model is translated into decisions on regulated functions, governance, capital, systems, controls, resourcing and operational dependencies. This prevents the licence application and operating model from being built around different assumptions.
Our work covers:
· Business-model and revenue-stream regulatory assessment
· Client, product, asset and transaction-flow mapping
· Permission, restriction and licence-condition analysis
· Regulated-function, outsourcing and shared-service design
· Capital, prudential, governance and substance implications
· Regulatory operating model and implementation priorities

04 New Products, Activities and Innovation Advisory
We assess new products, services and technologies before development or launch commitments become difficult to reverse. The work determines the regulatory classification, required permissions, customer and conduct implications, control requirements and approval pathway.
Mandates include digital assets, tokenisation, payments, investment products, fund structures, embedded finance and technology-enabled operating models. Where a proposition crosses regulatory boundaries, we establish the lead regime and the approvals or specialist opinions required from others.
Our work covers:
· New-product and regulated-activity assessments
· Digital-asset, tokenisation and payment-model classification
· Investment-product, fund and distribution analysis
· Customer, conduct and disclosure requirements
· Technology, custody, data and outsourcing implications
· Regulatory engagement, approval and implementation roadmap

05 Regulatory Change and Impact Assessment
We interpret regulatory developments and determine their effect on the institution’s permissions, governance, products, controls, capital and operating model. The analysis distinguishes mandatory change from supervisory expectation and identifies the decisions required from management and the board.
We convert the impact assessment into accountable workstreams, policy and control changes, evidence requirements and implementation milestones. Multi-jurisdictional programmes are coordinated so that group standards remain coherent without overlooking local obligations.
Our work covers:
· Regulatory horizon scanning and rule interpretation
· Applicability, gap and business-impact assessment
· Governance, capital, product and operating-model implications
· Policy, process, system and control requirements
· Board decision papers and implementation roadmaps
· Multi-regulator change coordination and readiness review

06 Regulatory Due Diligence and Transaction Advisory
We advise investors, acquirers, sellers and regulated institutions on the regulatory position of a proposed transaction. The work identifies permission constraints, change-in-control requirements, supervisory issues and control deficiencies that may affect value, timing, conditions or execution.
We also assess the target operating model after completion, including licence continuity, governance, regulated functions, remediation and regulator engagement. Specialist legal opinions and formal financial due diligence remain with appropriately authorised advisers.
Our work covers:
· Regulatory due diligence for investments and acquisitions
· Licence, permission and regulatory-history assessment
· Supervisory findings, remediation and enforcement-exposure review
· Change-in-control and pre-transaction approval requirements
· Regulatory conditions, dependencies and execution risks
· Post-transaction governance and regulatory-integration roadmap

07 Regulatory Engagement and Supervisory Strategy
We prepare boards and senior management for material engagement with regulators, from early-stage business-model discussions to supervisory reviews and remediation programmes. We establish the institution’s position, supporting evidence, decision authority and communication strategy.
The objective is a consistent and credible regulatory narrative supported by operational facts. We coordinate submissions, meeting preparation, information requests and commitments while preserving clear ownership within the institution.
Our work covers:
· Pre-application and material-change engagement strategy
· Regulatory position papers and decision materials
· Board, executive and key-person meeting preparation
· Supervisory review and information-request coordination
· Response strategy for findings and remediation commitments
· Regulatory communications, evidence and commitment tracking
