PNYX HILL GRC ADVISORS | CENTRAL ASIA

Regulatory and Business Advisory in the AIFC and Central Asia

From our licensed base in Astana, we advise financial institutions, insurance businesses, founders, boards and international groups entering the AIFC, operating in Kazakhstan or building cross-border businesses between Central Asia, the GCC and Europe.

Pnyx Hill KZ Ltd. is licensed by AFSA as an Ancillary Services Provider for regulatory, compliance, risk, management, business, due diligence and market-research consultancy. We bring these disciplines together to establish the regulatory route, commercial rationale and operating model behind each decision.

AIFC at the centre of our Central Asia practice

The AIFC is Kazakhstan’s international financial centre and a distinct financial-services jurisdiction within Astana. It operates under its own civil and commercial laws, a regulatory framework based on international standards and principles of the laws of England and Wales, supervision by the Astana Financial Services Authority (AFSA), and an independent AIFC Court.

An AIFC structure must also be considered alongside the requirements applying to activities conducted elsewhere in Kazakhstan. We assess where the AIFC framework applies, how the AIFC entity will interact with the wider business and which national, cross-border or separately authorised workstreams must be resolved before the model proceeds.

An AFSA-licensed advisory platform

Pnyx Hill KZ Ltd. holds an active AFSA Ancillary Services licence covering management and business consultancy, due diligence consultancy, regulatory consultancy, market research, compliance consultancy and risk consultancy.

Under this licence, we advise clients from the initial regulatory and commercial assessment through market-entry planning, authorisation readiness, framework design and cross-border coordination. A Pnyx Hill partner remains accountable throughout, connecting our Astana presence with the Group’s capabilities across the Middle East and Europe.

Our AIFC advisory services

services delivered as one connected advisory proposition

Our services are grounded in the consultancy permissions held by Pnyx Hill KZ Ltd.

We assess how an organisation’s intended activities sit within the AIFC financial-services, market, ancillary-services and non-financial frameworks. The analysis follows the actual product, client, transaction, revenue and delivery model, identifying activities that may require AFSA authorisation and the boundaries that must be preserved.

We compare viable structures and define the implications for permissions, ownership, capital, governance, people, systems, controls and cross-border activity. For insurance-related models, this includes distinguishing between insurance, reinsurance, captive, intermediary and insurance-management activities and identifying the corresponding prudential, governance, risk and approved-function requirements.

Our work covers:

  • Business, activity, product, client and revenue-flow mapping

  • AIFC regulatory-perimeter and activity-classification assessment

  • Regulated, market, ancillary and non-financial activity analysis

  • Licence-pathway, permission and restriction assessment

  • Insurance, reinsurance, captive, intermediary and insurance-management perimeter assessment

  • Cross-border, group-service and outsourcing implications

  • Regulatory decision papers and implementation roadmaps

CENTRAL ASIAN ENGAGEMENT SCOPE

Kazakhstan and the wider Central Asian region

Our work outside the AIFC is deliberately advisory. We support organisations with market assessment, regulatory mapping, business-model development, operating strategy, due diligence, partner evaluation and expansion planning across Kazakhstan and selected Central Asian markets.

Where national law, local authorisation or another reserved professional service is required, that work is separately scoped with an appropriately authorised in-market provider.

GLOBAL Engagement scope

Connecting Central Asia with the GCC and Europe

From Astana, we advise international groups entering Kazakhstan and Central Asia and regional businesses establishing regulated pathways into the GCC and Europe.

We align entity purpose, regulatory responsibilities, governance, ownership, shared services, outsourcing and operating dependencies across jurisdictions. Each workstream is delivered within the permissions of the relevant entity and the requirements of the applicable regulator.

WHEN CLIENTS ENGAGE US

Clarity on entry, regulation and growth

Clients engage us when deciding whether the AIFC is the right platform for a proposed business; assessing whether activities may require AFSA authorisation; preparing for market entry or an application; or determining how an AIFC entity should connect with operations elsewhere in Kazakhstan.

We are also engaged when an existing AIFC participant is changing its business model, strengthening compliance or risk arrangements, assessing an insurance, reinsurance or captive proposition, reviewing a target or partner, or expanding between Central Asia, the GCC and Europe.
