PNYX HILL GRC ADVISORS | MIDDLE EAST

Regulatory and GRC Advisory Across the UAE and GCC

From our headquarters in ADGM, we advise banks and financial institutions, fund managers, family offices, investment firms, insurers, payment businesses and digital-asset firms across the UAE’s principal regulatory regimes and on expansion into the wider GCC.

We determine the jurisdiction, regulatory perimeter and licence pathway, then lead authorisation, governance, compliance, financial crime, risk and assurance mandates through implementation and operational readiness.

UAE REGULATORY COVERAGE

Freezone and Mainland Jurisdictions

The applicable authority is determined by the proposed activities, instruments, clients and operating location - not simply by the place of incorporation. We establish that perimeter at the outset and build the mandate against the relevant rulebook, authorisation standard and supervisory expectations.

  • We advise boards and senior management on FSRA regulatory strategy, perimeter analysis, business-model design, new activities, transactions and material regulatory change. We lead FSP applications and licence variations through activity mapping, regulatory business plans, prudential and governance design, controlled-function and key-individual readiness, regulator engagement and operational launch.

The mandate can then continue into framework implementation and ongoing GRC delivery, with the regulatory position, authorisation commitments and operating model maintained as one coherent programme.

    Our ADGM capabilities include:

    • Regulatory strategy, regulatory-perimeter and GRC advisory

    • FSP applications, licence variations, change-in-control matters and regulatory-change programmes

    • Regulatory business plans, prudential design, governance, substance and operating readiness

    • Compliance as a Service, regulatory monitoring, regulatory reporting and financial-crime frameworks

    • Outsourced or co-sourced CO, MLRO and FO appointments where current FSRA requirements permit and the proposed individual is accepted

    • DPO services, company-secretarial governance support and other permitted co-sourced functions

    • Risk management, outsourced or co-sourced internal audit, non-statutory assurance, control testing and remediation validation

    • Regulator-requested independent reviews and third-party verification assignments where Pnyx Hill meets the applicable eligibility and independence requirements

    Principal relevance:

Banks and financial institutions; funds and asset managers; family offices; investment firms; insurers, reinsurers and captives; virtual-asset businesses.

  • We advise boards and senior management on DFSA regulatory strategy, perimeter, permission and category decisions, business-model design, new activities, transactions and material regulatory change. We lead authorisations and licence variations through activity mapping, regulatory business plans, prudential classification, governance design, Authorised Individual readiness, regulator engagement and operational launch.

The mandate can then continue into framework implementation and ongoing GRC delivery, aligning day-to-day compliance, risk and governance with the permissions and commitments on which the authorisation is based.

    Our DIFC capabilities include:

    • Regulatory strategy, regulatory-perimeter and GRC advisory

    • DFSA authorisations, licence variations, change-in-control matters and regulatory-change programmes

    • Regulatory business plans, prudential classification, governance, substance and operating readiness

    • Compliance as a Service, regulatory monitoring, regulatory reporting and financial-crime frameworks

    • Outsourced or co-sourced CO, MLRO and FO appointments where current DFSA requirements permit and the proposed individual is accepted

    • DPO services, company-secretarial governance support and other permitted co-sourced functions

    • Risk management, outsourced or co-sourced internal audit, non-statutory assurance, control testing and remediation validation

    • Regulator-requested independent reviews and third-party verification assignments where Pnyx Hill meets the applicable eligibility and independence requirements

    Principal relevance:

Banks and financial institutions; funds and asset managers; family offices; investment firms and intermediaries; insurers, reinsurers and captives; digital-asset and fintech firms; payment propositions requiring cross-regime analysis.

  • We advise boards, founders and senior management on the classification and licensing of virtual-asset activities in Dubai outside the DIFC. We lead mandates from regulatory-perimeter and activity analysis through Approval to Incorporate (ATI) and VASP licensing, ownership and governance design, Responsible Individual readiness, regulator engagement and operational launch.

We translate the applicable compulsory and activity-specific rulebooks into the governance, capital, compliance, financial-crime, technology, custody, market-conduct and resilience arrangements required for an operating VASP. Tokenisation propositions are assessed across the VARA, CMA, CBUAE, FSRA and DFSA perimeter according to the rights attached to the token and the activities being conducted.

    Our Dubai virtual-asset capabilities include:

    • Regulatory strategy, activity classification and cross-regime perimeter analysis

    • ATI and VASP licence applications, licence amendments and regulatory-change programmes

    • Regulatory business plans, ownership, governance, capital and Responsible Individual readiness

    • Compulsory and activity-specific rulebook implementation and operational-readiness testing

    • Compliance, AML, sanctions, market-conduct, regulatory-reporting and delegated operational support alongside the VASP’s accountable internal CO

    • MLRO, CISO or DPO support and appointments where VARA requirements permit and the proposed arrangement is accepted

    • Technology governance, information security, custody controls, outsourcing, third-party risk and operational resilience

    • Risk management, co-sourced internal audit, non-statutory assurance, control testing and remediation validation, subject to applicable independence requirements

    Principal relevance:

Virtual-asset advisers, broker-dealers, custodians, exchanges, lending and borrowing providers, investment managers, transfer and settlement providers, issuers and tokenisation businesses.

  • We advise boards and senior management on the regulatory perimeter and licensing of onshore UAE capital-market activities and virtual assets used for investment purposes. Mandates cover investment and fund-management permissions, advisory, promotion, dealing, arranging and custody models, personnel approval and readiness, regulatory engagement and operational launch.

We carry the selected licence route into the institution’s governance, compliance, financial-crime, risk and control framework. Cross-regime propositions are mapped against FSRA, DFSA, VARA and CBUAE boundaries before the authorisation pathway and operating model are fixed.

    Our federal capital-market capabilities include:

    • Regulatory strategy, jurisdiction and regulatory-perimeter advisory

    • CMA licence applications, variations, change-in-control matters and personnel approval and readiness

    • Fund, investment-management, advisory, promotion, dealing, arranging and custody operating models

    • Virtual-asset activity and token classification under the UAE capital-market framework

    • Governance, compliance, AML, sanctions, risk, internal-control and regulatory-reporting frameworks

    • Permitted co-sourced compliance and AML activities under the institution’s accountable approved functions and any required regulatory no-objection

    • Risk management, co-sourced internal audit, non-statutory assurance, control testing and remediation validation, subject to applicable eligibility and independence requirements

    • Supervisory remediation and regulatory-change programmes

    Principal relevance:

Investment firms; asset and fund managers; advisers and intermediaries; custodians; financial-services companies; investment-purpose digital-asset and tokenised-product businesses.

  • We advise boards and senior management on regulatory strategy, licensing, governance, prudential readiness and supervisory remediation across banking, finance, exchange and remittance, insurance, reinsurance and payment services. We lead licence and approval mandates through activity and perimeter analysis, ownership and control, regulatory business plans, key-function readiness, regulator engagement and operational launch.

We then establish the capital, solvency, governance, compliance, financial-crime, consumer-protection, risk, outsourcing, resilience and reporting arrangements required for ongoing supervision. Stored-value, wallet, remittance, payment-token, captive and cross-border insurance propositions are assessed against the wider UAE perimeter before the licence route and control framework are fixed.

Our federal banking, insurance and payments capabilities include:

    • Regulatory strategy, activity classification and cross-regime perimeter advisory

    • Licence applications, variations, change-in-control matters and regulatory-change programmes

    • Regulatory business plans, ownership and control, governance and key-function readiness

    • Capital, liquidity, solvency, risk-management and prudential frameworks

    • Compliance, AML, sanctions, consumer-protection and regulatory-reporting frameworks

    • Permitted co-sourced compliance and AML activities under the institution’s accountable internal functions and any required CBUAE approval or no-objection

    • Operational resilience, outsourcing, third-party risk, business continuity and technology governance

    • Internal audit, non-statutory assurance, control testing, supervisory remediation and remediation validation, subject to applicable eligibility and independence requirements

    Engagement scope:

Named regulated-function appointments are undertaken only where the current rulebook permits the arrangement and the proposed individual is approved or accepted by the relevant authority. Internal audit, assurance and regulator-requested independent reviews are accepted only after eligibility, conflicts and independence have been confirmed. Statutory audit, legal opinions, actuarial sign-off and other reserved services are outside this proposition and, where required, are coordinated with appropriately authorised firms.

OUR GRC SERVICES

Regulatory, Jurisdictional and Sector Specific Services

  • We advise boards and executives on regulatory perimeter, jurisdiction selection, business-model viability, new products, transactions, supervisory strategy and regulatory change. We compare available routes, expose the permissions and constraints attached to each option and establish a defensible regulatory position before capital and management time are committed.

The advice is translated into clear decisions on entity structure, permissions, governance, capital, capabilities, operating model and regulatory sequencing.

  • We lead new authorisations, licence variations and change-in-control mandates from activity mapping and pre-application strategy through regulatory business plans, financial projections, governance, policies, key-person readiness, submissions and regulator engagement.

Each programme is built to the evidence and readiness standard of the relevant authority and carried through to operational launch.

  • We design, remediate and operate compliance frameworks for applicants, newly authorised firms and established institutions. Scope includes compliance-risk assessment, policies, monitoring, regulatory reporting, advice, training, management information and board reporting.

Delivery ranges from targeted co-sourced work to an integrated compliance service. Named appointments are undertaken only where the applicable regime permits the arrangement and the proposed individual is accepted by the relevant authority.

  • We establish, remediate and test financial-crime frameworks across enterprise and business risk assessment, customer onboarding, CDD and EDD, sanctions and screening, transaction monitoring, suspicious-activity escalation, MLRO governance and regulatory reporting.

The control model is calibrated to the institution’s products, clients, channels and geographic exposure, then embedded through accountable ownership, evidence standards, training and quality assurance.

  • We deliver independent internal audit and non-statutory regulatory assurance across governance, compliance, AML, risk, operations, technology and outsourcing. Risk-based plans, thematic reviews, control testing and remediation validation give boards and audit committees a clear view of control design, operating effectiveness and residual exposure.

Every mandate is subject to an explicit assessment of eligibility, conflicts and independence, with scope and governance established before work begins.

  • We design and strengthen enterprise and operational risk frameworks, risk appetite, policies, registers, KRIs, incident and issue management, business continuity, outsourcing and third-party risk, technology governance and resilience testing.

The framework connects risk ownership, escalation and board oversight to the institution’s licence obligations, business model and critical operations.

An integrated view of the UAE regulatory perimeter

Our UAE work spans mandates governed by the Financial Services Regulatory Authority (FSRA), Dubai Financial Services Authority (DFSA), Virtual Assets Regulatory Authority (VARA), UAE Capital Market Authority (CMA, formerly SCA) and Central Bank of the UAE (CBUAE). We advise on each regime and the boundaries between them - particularly where banking, investments, digital assets, tokenisation, payments, insurance or cross-border structures may engage more than one authority.

We carry the agreed regulatory position into the operating institution: authorisations, entity and governance design, regulated functions, prudential readiness, policies, systems, controls and evidence for regulatory review. Internal audit, assurance and independent-review mandates are separately assessed and governed to preserve eligibility, independence and objectivity.

Senior regulatory judgement and execution

Our advisory and delivery work is led as one mandate. The partner who establishes the regulatory position remains accountable for the authorisation, governance and operating programme that follows, preserving the logic of the decision through implementation and regulatory review.

We work across the boundaries between regulators, activities and sectors rather than treating each rulebook in isolation. This is particularly important for institutions combining banking, investment, digital-asset, tokenisation, insurance or payment activities within a regional business model.

REGIONAL COVERAGE

GCC and wider middle east

From the UAE, we advise institutions assessing or preparing for expansion across the GCC, including KSA, Oman, Bahrain, Qatar and Kuwait. Mandates address comparative regulatory perimeter, market-entry strategy, licensing readiness, ownership and entity structure, operating-model design, prudential and substance requirements, regulatory sequencing and group governance.

Across the wider Middle East, we undertake mandates where our financial-services and cross-border regulatory expertise is directly relevant. Jurisdiction-specific legal opinions, local authorisation work and reserved services are coordinated with appropriately qualified in-market specialists.
