PNYX HILL GRC ADVISORS

Corporate Governance and Board Effectiveness

We advise shareholders, boards and senior management on the governance of regulated financial institutions across the UAE and wider GCC. Mandates cover board and committee structures, delegated authority, regulated functions, executive accountability, management information and board effectiveness.

We design governance around the decisions the institution must make, the authority to make them and the evidence required to demonstrate effective oversight. Arrangements are calibrated to the applicable FSRA, DFSA, VARA, CMA or CBUAE framework and to the institution’s ownership, activities, scale and risk profile.

When Clients Engage Us

Clients engage us when growth has slowed and the underlying cause is unclear; when a new market, business or investment requires a rigorous strategic case; when capital and management attention must be reallocated; or when the current strategy no longer reflects the realities of the market.

We are also engaged when structural, technological or regulatory change has challenged the assumptions behind the strategy; when performance has diverged materially from the strategic plan; when a change in ownership or leadership requires the organisation’s direction to be reset; or when a board needs independent challenge before making a consequential and difficult-to-reverse decision.

We define the board and committee architecture required to direct and oversee the institution. The design reflects ownership, legal-entity structure, regulated activities, risk profile and the responsibilities reserved for the board under the applicable regime.

Mandates, authorities, membership, reporting lines and annual agendas are aligned so that material decisions reach the correct forum. The result is a governance structure that supports informed challenge without duplicating management responsibilities.

Our work covers:

  • Board and committee structure and mandate

  • Reserved matters and committee authorities

  • Charters, terms of reference and reporting lines

  • Membership, quorum, attendance and meeting cadence

  • Board and committee annual calendars

  • Group, subsidiary and regulated-entity governance

We establish the framework through which authority moves from shareholders and the board to committees, executives and business functions. Decision rights are defined by subject, value, risk and regulatory significance, with clear escalation and exception routes.

The framework connects constitutional documents, reserved matters, delegated authorities, policies and operating procedures. This removes gaps and conflicting mandates between formal governance and the way decisions are made in practice.

Our work covers:

  • Corporate governance framework and policy architecture

  • Shareholder, board, committee and executive authorities

  • Delegated-authority matrix and approval thresholds

  • Escalation, exception and emergency-decision protocols

  • Conflicts, related-party and connected-party governance

  • Policy ownership, approval and review hierarchy

We map executive, control-function and regulated-role responsibilities to the institution’s permissions and operating model. Each material obligation is assigned to an accountable role with defined authority, information access, reporting and escalation.

The accountability framework covers controlled, authorised, responsible and key functions under the relevant regime. It is embedded through role profiles, committee mandates, objectives, attestations, deputies and succession arrangements.

Our work covers:

  • Senior-management and regulated-function mapping

  • Responsibility statements and accountability maps

  • Role mandates, reporting lines and decision authority

  • Independence and access for control functions

  • Deputy, contingency and succession arrangements

  • Attestations, performance objectives and evidence of oversight

We assess whether the board has the collective competence, independence, capacity and diversity of perspective required for the institution’s mandate. The assessment considers strategy, regulated activities, risk exposure, committee responsibilities and the expectations applicable to individual directors.

We convert identified gaps into a composition and succession plan, supported by role specifications, selection criteria, onboarding and continuing-development priorities. Regulatory suitability and appointment requirements are integrated into the process.

Our work covers:

  • Board and committee skills matrix

  • Collective suitability, independence and capacity assessment

  • Director and committee-chair role specifications

  • Selection criteria and appointment governance

  • Board induction and continuing-development priorities

  • Succession, contingency and renewal planning

We provide independent reviews of how boards and committees discharge their mandates. The work examines information quality, agenda discipline, preparation, challenge, decision-making, follow-through and the relationship between the board, management and control functions.

Findings distinguish structural weaknesses from behavioural and process issues. Recommendations are prioritised, assigned and translated into an improvement plan that can be monitored by the chair and, where relevant, evidenced to the regulator.

Our work covers:

  • Board and committee document review

  • Director and executive questionnaires and interviews

  • Meeting observation and decision-process assessment

  • Challenge, independence and control-function access

  • Committee coordination and escalation effectiveness

  • Prioritised recommendations and follow-up review

Related service: Internal Audit and Assurance

We design board and committee reporting around the decisions, exposures and obligations requiring oversight. Information is structured to show performance, risk, compliance, financial position, incidents, breaches and remediation without obscuring material issues in reporting volume.

Reporting standards define ownership, data sources, thresholds, commentary, review and escalation. Decision papers and minutes preserve the rationale, challenge, conflicts, conditions and actions needed to demonstrate effective governance.

Our work covers:

  • Board and committee reporting architecture

  • Governance, risk, compliance, finance and operational MI

  • Indicators, limits, trends and escalation thresholds

  • Decision-paper and management-recommendation standards

  • Data ownership, review and quality controls

  • Minutes, actions, conflicts and decision records

We lead governance remediation following supervisory findings, board reviews, transactions or material changes in the institution. Actions are traced from root cause to revised authority, documentation, operating practice and evidence of sustained implementation.

We also provide defined company-secretarial governance support, including meeting cycles, papers, resolutions and governance records. Regulated corporate-service activities, statutory filings and legal opinions are undertaken only where appropriately authorised or coordinated with qualified providers.

Our work covers:

  • Governance gap assessment and remediation programme

  • Board, committee and delegated-authority redesign

  • Governance-document and policy remediation

  • Meeting calendars, agendas and paper coordination

  • Minutes, resolutions, action logs and governance records

  • Closure evidence and sustainability review
